Live D365 terms and conditions

These Terms and Conditions govern access to and use of Live D365. Live D365 is a platform operated by Digikentro ("Digikentro", "we", "us" or "our"). Digikentro's operating address is 1 Mangal Murti, Opp. Mother's School, Gotri, Vadodara, Gujarat 390021, India.

By creating an account, using Live D365, purchasing a service, or accepting an order or proposal that refers to these Terms, you agree to them. If you use Live D365 for an organisation, you confirm that you have authority to bind that organisation.

1. What Live D365 provides

Live D365 is an online business platform that may help users discover professional opportunities, present business or professional information, communicate with other users, and explore workforce or resource requirements.

Businesses and other approved organisations may join the Live D365 Partner network. A Partner may choose to share information about people or resources that are available for a future engagement. Live D365 may display or pass that information to a client or another Partner that may have a relevant requirement. Any engagement, employment, consultancy, subcontracting, or other commercial arrangement is between the relevant parties unless Digikentro expressly agrees otherwise in a separate written document.

Live D365 is not, solely because it provides the platform, the employer of a professional, the employer of a Partner's personnel, or a party to an agreement between users. Use of the platform does not guarantee a job, contract, placement, project, payment, business result, or availability of any person or resource.

We may add, remove, suspend, or change features. We are not required to disclose confidential or proprietary information about how Live D365 operates.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a binding agreement. You are responsible for the information you provide, for keeping account credentials confidential, and for activity carried out through your account.

You must notify us promptly if you believe that your account has been misused. We may require reasonable information to verify an account, organisation, or authority to act. We may refuse or limit access where we reasonably believe that an account is inaccurate, unsafe, unlawful, or being used in breach of these Terms.

3. Information submitted by you

You retain ownership of information, documents, profiles, messages, and other material that you submit to Live D365 ("User Content"). You give Digikentro a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, transmit, and otherwise use User Content only as reasonably needed to operate, secure, improve, and provide the Live D365 services and to carry out the instructions or interactions you initiate.

You confirm that:

  • you have the rights and permissions needed to submit the User Content and to allow us to use it as described here;
  • the User Content is accurate to the extent it is presented as factual;
  • the User Content does not unlawfully infringe another person's rights; and
  • you will not upload information that you are not authorised to share, including another person's personal data or confidential information.

You should not submit trade secrets, passwords, security credentials, or confidential information that Live D365 does not need for the relevant service.

4. Acceptable use

You must use Live D365 lawfully and responsibly. You must not:

  • impersonate another person or misrepresent your authority, organisation, experience, availability, or requirements;
  • use Live D365 to harass, threaten, discriminate against, defraud, spam, or unlawfully monitor another person;
  • upload malware or attempt to gain unauthorised access to an account, system, or data;
  • scrape, copy, reverse engineer, probe, overload, or interfere with Live D365 except where applicable law allows it;
  • use information obtained through Live D365 for an unrelated purpose or in breach of privacy, confidentiality, employment, or other law;
  • use Live D365 to solicit or share unlawful content; or
  • help another person do any of these things.

We may remove content or restrict access when needed to protect users, the platform, or our legal rights.

5. Partner and business interactions

Partners and clients are responsible for their own decisions, representations, due diligence, contracts, payments, tax obligations, employment obligations, and regulatory compliance. A Partner must have the authority to share any resource information it submits and must obtain any permissions required from the relevant person or organisation.

Live D365 may provide tools for introductions, search, communication, or coordination. We do not promise that a profile, requirement, resource, introduction, or communication is complete, current, suitable, lawful, or available. Users must independently verify information before relying on it or entering into an arrangement.

6. Automated and assistive features

Some Live D365 features may use automated or assistive technology to organise information, support search, help with communications, or provide general suggestions. Such features may be incomplete or incorrect. You remain responsible for decisions and should review important information before using it.

We do not intend to make decisions with legal or similarly significant effects about an individual solely through automated processing. Where applicable law gives a person a right to human review or another safeguard, we will handle that request as required by law.

7. Fees, orders, and payment

Prices, taxes, billing frequency, and any service-specific conditions will be shown at checkout, in an order, proposal, invoice, or separate written agreement. You must provide accurate billing information and pay amounts when due.

We may use independent payment processors and other service providers to support billing. Their terms may also apply to the payment transaction. Payment and transaction records may be handled or retained as needed to complete the transaction, prevent fraud, meet legal requirements, and maintain business records.

Unless a written order or applicable law says otherwise, paid subscriptions or recurring services continue until cancelled in accordance with the applicable order or our Cancellation and Refund Policy. Cancellation does not normally reverse charges already incurred or work already provided.

8. Intellectual property

Live D365, its software, content supplied by Digikentro, names, logos, layouts, and related rights belong to Digikentro or its licensors. These Terms give you a limited, revocable, non-exclusive right to use Live D365 for its intended business purpose. They do not transfer ownership or give you a right to copy, resell, modify, or commercially exploit Live D365 or its underlying materials.

You may send suggestions or feedback. You allow Digikentro to use that feedback without restriction or payment, provided that we do not identify you publicly as its source without permission.

9. Privacy and security

Our Privacy Policy explains how we handle personal data. You must provide notices and obtain permissions required for personal data that you submit about another person. If you use Live D365 for a business and submit personal data on behalf of an organisation, you remain responsible for having a lawful basis and appropriate authority to do so.

We use reasonable measures intended to protect the platform and information handled through it. No online service is completely secure or continuously available. You should use appropriate safeguards for your own accounts, devices, systems, and copies of information.

10. Third-party services and links

Live D365 may contain links to third-party websites or may work with third-party services. Digikentro does not control and is not responsible for their content, availability, security, or terms. You should review their terms and privacy notices before using them.

11. Disclaimers

To the maximum extent permitted by law, Live D365 is provided on an "as available" and "as is" basis. We do not promise uninterrupted access, error-free operation, particular results, or that any user, profile, resource, opportunity, introduction, or information will meet your expectations.

Live D365 does not provide legal, tax, financial, employment, immigration, or other professional advice. You are responsible for obtaining advice appropriate to your situation and for complying with laws that apply to your activities.

Nothing in these Terms excludes a consumer right or liability that cannot lawfully be excluded or limited.

12. Liability limits

To the maximum extent permitted by law, Digikentro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profit, revenue, business opportunity, goodwill, data, or anticipated savings arising from use of or inability to use Live D365.

To the maximum extent permitted by law, Digikentro's total aggregate liability arising out of or relating to Live D365 or these Terms will not exceed the fees you paid to Digikentro for the relevant Live D365 service during the 12 months before the event giving rise to the claim. If you have not paid a fee for that service, the limit will be INR 10,000.

These limits do not apply to liability that cannot be limited under applicable law, or to a party's fraud, wilful misconduct, or other liability that the law does not permit the party to exclude.

13. Indemnity

To the extent permitted by law, you will indemnify Digikentro and its officers, employees, and contractors against third-party claims, losses, and reasonable costs arising from your User Content, your misuse of Live D365, your breach of these Terms, or your violation of another person's rights or applicable law.

14. Suspension and termination

You may stop using Live D365 at any time. We may suspend or terminate access, remove content, or discontinue part of Live D365 if we reasonably consider it necessary for security, legal compliance, non-payment, misuse, or the protection of users or Digikentro.

After termination, provisions that by their nature should continue will remain in effect, including provisions concerning User Content, intellectual property, confidentiality, disclaimers, liability, indemnity, and dispute resolution. We may retain information where required by law, for legitimate business records, or to resolve disputes.

15. Changes to these Terms

We may update these Terms when Live D365, applicable law, or our practices change. We will post the updated version and change the effective date. If a change materially affects your rights, we may provide an additional notice where required. Continued use after the effective date means that you accept the updated Terms.

16. General terms

These Terms and any applicable order or written agreement form the agreement between you and Digikentro for the relevant Live D365 services. If a written order or business agreement conflicts with these Terms, the written order or business agreement controls for that conflict.

If a provision is held invalid, the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our written consent, except where applicable law permits it. Digikentro may transfer these Terms as part of a reorganisation, merger, sale, or transfer of the relevant business.

17. Governing law and contact

These Terms are governed by the laws of India. Subject to mandatory rights or remedies available under applicable law, the courts in Vadodara, Gujarat will have jurisdiction over disputes relating to these Terms or Live D365.
